Le présent contrat de licence d'utilisateur final (ci-après dénommé le « CLUF ») constitue un accord juridique et contraignant entre PDF Pro Software Ltd., dont le siège social est situé au 1383 W 8th Ave, Vancouver, BC V6H 3V9, Canada, numéro d'enregistrement commercial 700468291BC0001, y compris ses filiales, sociétés affiliées et sous-traitants agissant en son nom (ci-après dénommés collectivement « PDF Pro », « Nous », « Notre » ou « Nos ») et toute personne ou entité et ses héritiers, agents, successeurs et ayants droit qui ont acheté ou sont autorisés à accéder à notre logiciel PDF Pro (ci-après dénommés singulièrement et collectivement « Vous » ou « Votre »)

SECTION 1 – SOURCES, ACCÈS, LIVRAISON ET EXIGENCES

1.1 Desktop Software License. Subject to your Subscription Plan, you are granted a limited, worldwide, non-assignable, and non-exclusive license to use the PDF Pro desktop software downloaded specifically from pdfpro.com.

1.2 Platform-Specific Builds. You acknowledge that PDF Pro maintains separate, distinct software builds for Windows and macOS operating systems. Your license grants you access to the specific build compatible with your purchased plan. A license for one platform does not inherently grant access to the other unless expressly provided in your Subscription Plan.

2.2) Appareils autorisés. Vous êtes autorisé à accéder au logiciel PDF Pro et à l'utiliser uniquement en exécutant le nombre d'appareils (et/ou d'utilisateurs autorisés, dans le cas d'un compte multi-utilisateur) autorisé par le plan d'abonnement concerné. Sauf indication contraire, le nombre maximal d'appareils autorisés par utilisateur (et/ou par utilisateur autorisé, dans le cas d'un compte multi-utilisateur) est de deux (2).

ARTICLE 2 – DROITS ACCORDÉS

You shall not, and shall not permit others to: Reverse Engineer: Decompile, disassemble, or attempt to derive the source code of the software. Redistribute: Rent, lease, sell, or sublicense the software to any third party. Compete: Use the software to build or support products competing with PDF Pro. Remove Notices: Alter or remove any identification markings or copyright notices.

SECTION 3 – VOS RESPONSABILITÉS

3.1 Third-Party Notices. The software may include third-party components. Comprehensive notices, credits, and additional license terms for third-party software are accessible directly within the desktop application via the "About PDF Pro" popup.

3.2 System Requirements. The software is only eligible for support when running on the hardware and operating system environments specified in the official PDF Pro documentation. You are responsible for any hardware updates or third-party fees required to maintain compatibility.

Notice on Modernization: Over time, PDF Pro may lose compatibility with older computer systems in order to continue adding new functionality, modernizing its offerings, and maintaining security. We disclaim any liability in case updates result in an unavailability or incompatibility with older hardware or pre-existing third-party software.

4. AUTOMATIC UPDATES & AVAILABILITY

4.1 Maintenance Updates. The software may contain automatic update technology to provide bug fixes, patches, and new versions. By installing the software, you consent to the automatic downloading and installation of these maintenance features.

4.2 Discontinuation. We reserve the right to discontinue specific features or technical support in accordance with our discontinuation policy.

5. LIMITATION OF LIABILITY

To the maximum extent permitted by law, PDF Pro shall not be liable for any indirect, incidental, or consequential damages arising from the use of the software. In no event shall our aggregate liability exceed the fees actually paid for your Subscription Plan during the twelve (12) month period preceding the date the claim arose.

6. INDEMNIFICATION

3.5) Indemnisation. Les Sect. 9.1) et 9.2) ci-dessous s'appliquent à toute réclamation d'un tiers découlant d'une violation de vos obligations en vertu de la présente Section 3 (Vos responsabilités), en plus de tous les autres droits ou recours qui nous sont accordés en vertu du présent CLUF et/ou conformément à la loi applicable.

7. GOVERNING LAW AND JURISDICTION

7.1 Governing Law. This EULA is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

7.2 Exclusive Jurisdiction. Any dispute arising out of this EULA shall be submitted to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada.

8. AMENDMENTS

10.7) Modifications. La date d'entrée en vigueur de la dernière version du présent CLUF est indiquée ci-dessus, telle que publiée de temps à autre sur notre site Web à l'adresse CLUF. Nous avons le droit de modifier le présent CLUF à tout moment et de changer, supprimer, interrompre ou imposer des conditions d'utilisation du logiciel PDF Pro, auquel cas les nouvelles conditions générales remplaceront les conditions précédentes. Toute modification entrera en vigueur trente (30) jours après la première notification de ces modifications par e-mail et/ou notifications lors de l'utilisation du logiciel PDF Pro et/ou par d'autres moyens raisonnables. Votre utilisation continue du logiciel PDF Pro suite à des modifications apportées au présent CLUF après la date d'entrée en vigueur d'une version révisée de celui-ci constitue votre acceptation expresse du présent CLUF et votre accord d'être lié par celui-ci tel qu'il est en vigueur de temps à autre. Si vous n'acceptez pas le CLUF modifié en partie ou en totalité, vous devez résilier votre compte et cesser d'utiliser le logiciel PDF Pro avant que la modification ne prenne effet.
